Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Chatolia, including our website, dashboard, public agent pages, and embeds. By using Chatolia, you agree to these Terms.
Definitions
- Service: the Chatolia application, APIs, and related websites.
- Agent: an AI chatbot you configure and operate through Chatolia.
- End User: a person interacting with your agent (on Chatolia or embedded on your site).
- Content: prompts, messages, files, training data, settings, and outputs processed by the Service.
Accounts and Access
- Provide accurate information and keep credentials secure.
- You are responsible for actions under your account.
- Some features allow guest sessions for end users. If you embed an agent, you are responsible for your end users and their use of the agent.
Acceptable Use
- Do not violate laws, infringe IP, or submit unlawful, harmful, harassing, or deceptive content.
- Do not attempt to bypass plan limits, abuse rate limits, interfere with security features, or access other users’ data.
- For embeds, honor allowed-origin and token requirements. Do not spoof origins or reuse tokens improperly.
- Do not submit highly sensitive data unless your implementation and plan are designed to handle it securely.
AI Outputs and Provider Terms
Chatolia routes model requests via the Vercel AI Gateway to third‑ party providers (e.g., OpenAI, Anthropic, Google, xAI). Outputs may be inaccurate or unsafe if used without human review. You are responsible for evaluating outputs before use. Provider terms and policies apply to data sent to those services.
Plans, Billing, and Credits
- Pricing, message credits, agent limits, storage, and model access are described on our Pricing page and may change.
- Credits reset each billing period. We may restrict service when you reach plan limits.
- Payments are processed by Stripe. Taxes may apply. Unless stated otherwise, subscriptions renew automatically until canceled.
- Free‑plan agents may be deleted after 14 days of inactivity.
- Upgrades take effect immediately; downgrades or cancellations take effect at the end of the current billing period unless stated otherwise.
Model Access and Limits
Model availability is plan‑gated. We may modify allowed models and quotas to maintain reliability, comply with provider terms, or improve safety and performance.
Content and Intellectual Property
- You retain ownership of your Content. You grant Chatolia a worldwide, non‑exclusive license to host, process, transmit, display and reproduce your Content solely to provide the Service and comply with law.
- You represent you have the rights to submit Content, and that your use will not violate third‑party rights or laws.
- We may generate aggregated and de‑identified metrics to operate and improve the Service, which do not identify you or your end users.
- Chatolia and its licensors retain all rights in the Service, including software, documentation, and brand assets.
Privacy and Data Processing
Our processing of personal data is described in the Privacy Policy. When you embed an agent, you are the controller for your end‑user data and we act as your processor for that content. We use subprocessors (e.g., Vercel, Neon, Upstash, Stripe, model providers via Vercel AI Gateway) to provide the Service. A data processing addendum is available upon request for eligible plans.
Suspension and Termination
- You may cancel at any time via the dashboard or Stripe portal.
- We may suspend or terminate access for non‑payment, abuse, or material breach. We may remove content that violates these Terms or law.
- Upon termination, your right to use the Service ends, but certain provisions survive (e.g., IP ownership, disclaimers, limitations of liability).
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATOLIA AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS PAID BY YOU TO CHATOLIA IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100 IF YOU HAVE NO PAYMENT OBLIGATIONS.
Indemnification
You will indemnify and hold Chatolia harmless from claims, damages, and costs arising from your use of the Service, your Content, or your breach of these Terms or applicable law.
Export and Sanctions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are subject to restrictions under such laws or for prohibited purposes.
Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws principles. The exclusive venue for disputes is the state and federal courts located in Delaware, USA, unless another venue is required by law.
Changes to These Terms
We may update these Terms to reflect changes to the Service or legal requirements. We will post the new date above. Your continued use of the Service after changes become effective constitutes acceptance.
